These Terms of Service (“Terms”) govern your use of services provided by Faction AI (“we”, “us”, “our”). By accessing our website, booking a call, or working with us, you agree to these Terms.

Please read them carefully before using our services.


1. Who We Are

Faction AI provides:

• AI strategy and consultancy

• Workflow automation

• AI content systems

• Smart booking platforms

• Custom AI solutions

• Chatbots and voice agents

• AI training

These services are delivered through Max Faction Ltd, operating in the United Kingdom.


2. Use of Our Services

By using our services, you confirm that:

• you are at least 18 years old

• you have the authority to enter into agreements on behalf of your business (if applicable)

• you provide accurate information during consultations and onboarding

• you will not use our services for illegal or harmful activities


3. Consultancy & Project Work

We provide bespoke consultancy, implementation, and AI development based on the information you provide.

You understand that:

• our work relies on accurate details about your workflows, systems, and goals

• AI-generated outputs may require human oversight

• results can vary depending on data quality, third-party tools, and implementation environments

• timelines may shift based on scope changes or technical dependencies


4. Payments and Billing

Payment terms vary by service:

A. One-off Projects

Paid upfront or via a milestone schedule agreed before work begins.

B. Monthly Retainers

Billed monthly in advance.

Unused hours do not roll over unless explicitly agreed.

C. Software, Bots & Hosted Systems

Some services may require third-party subscriptions (e.g. AI models, automation tools, hosting platforms). These are the client’s responsibility unless agreed otherwise.

D. Late Payments

We may pause work or restrict access to systems if invoices remain unpaid beyond the due date.


5. Refunds

Because our services involve time, consultancy, and custom-built systems, all payments are non-refundable, except where required by law.

If you cancel a project mid-way, completed work up to that point remains billable.


6. Client Responsibilities

To deliver your project effectively, you agree to:

• provide timely access to required systems (CRM, calendars, automations, etc.)

• supply accurate information

• review drafts, prototypes, or outputs

• respond within reasonable timeframes

• ensure compliance with laws relating to your industry and data

We are not responsible for delays caused by missing information or lack of access.


7. AI Tools & Output Disclaimer

AI tools are powerful but not perfect.

You acknowledge that:

• AI-generated content may contain errors

• AI automations can fail if input data is incomplete or inconsistent

• AI output should be reviewed before being used externally

• AI tools may change behaviour due to model updates from third-party providers

We cannot guarantee the accuracy, legality, or suitability of AI-generated content without human review.


8. Confidentiality

We treat all client information as confidential.

We will not share your data, materials, or workflows with any third party except:

• trusted service providers needed to deliver your project (e.g. automation platforms, hosting providers)

• when legally required

NDAs can be signed upon request.


9. Intellectual Property

A. For Custom AI Solutions & Automations

Once your project is paid in full, you receive a licence to use the system for your business.

B. Underlying Code & Frameworks

We may reuse non-client-specific templates, logic, or internal frameworks to build other solutions.

Your confidential data and unique logic flows are not reused.

C. Content Systems

AI-generated content belongs to you.


10. Third-Party Tools & Integrations

Our services often rely on tools such as:

• Zapier, Make, n8n

• Google Workspace

• WhatsApp API providers

• AI models (OpenAI, Claude, Gemini, etc.)

• CRMs (HubSpot, GHL, Zoho, etc.)

We are not responsible for:

• outages

• changes in pricing

• service limitations

• restrictions imposed by third-party platforms

If a third-party tool changes, additional work may be required.


11. Limitation of Liability

To the maximum extent permitted by UK law:

• We are not liable for indirect, incidental, or consequential losses

• We do not guarantee specific revenue increases, conversions, or performance improvements

• Our total liability for any claim is limited to the amount paid for the service in question

You are responsible for ensuring compliance with your own regulatory requirements.


12. Termination

Either party may terminate the relationship with written notice.

We may suspend or end services if:

• invoices remain unpaid

• you violate these Terms

• your project requires information or access we cannot obtain

Work completed up to termination remains payable.


13. Changes to These Terms

We may update these Terms occasionally.

The latest version will always be available on this page.
